Burness Paull advised the management team of Horizon Energy Infrastructure (HEI) and Smart Meter Assets (SMA) on its merger with Smart Metering Systems (SMS) and subsequent transfer of ownership from Arcus Infrastructure Partners to global investment firm KKR, who acquired SMS in April 2024.
HEI and SMA’s portfolio represents a total of 3.5 million installed energy meters and together the combined group will manage more than 6 million meters, creating one of the leading providers of UK smart metering infrastructure.
Smart meters are a key enabler of the UK’s net zero 2050 ambitions, providing critical infrastructure to support the transition to a decarbonised and digitised energy system.
The transaction is subject to regulatory approvals and expected to complete in early 2025.
The Burness Paull team was led by Helen Dickson (partner, energy) with support from Christine Yuill (head of corporate tax).
