Each year we compile our annual M&A deal insight report, offering comprehensive analysis and insight into key market trends and evolving deal dynamics, based on what we have experienced over a 12 month period.
This year’s report uses data from a sample of 52 eligible M&A deals completed in the 12 months to August 2025, totalling more than £1bn in value and including transactions where we have acted buyside or sellside for UK corporates or private equity funds or which involved UK target businesses. It is interesting to reflect on some of the trends highlighted by our deals data.
The technology sector continues to attract a significant portion of deal activity, followed by healthcare and life sciences, and energy and infrastructure deals. Private equity backed deals have declined relative to last year, with PE having found it difficult to secure new platform deals.
Regulatory oversight has continued to increase its reach into the deal environment. One in five trade deals in our report were conditional upon a regulatory consent being obtained and mandatory NSIA notifications have increased over the last 12 months, featuring in approximately 20% of transactions. Buyers are seeking increased value protection through long non compete restrictions.
